Marcia Allen

Marcia Allen is the CEO and founder of Allen & Associates. For the past twenty five years, she has been devoted to corporate finance – building asset value through acquisition and internal growth funded by institutional investment She has over twenty five years of merger and acquisition, corporate finance, Chief Executive Officer and Chief Financial Officer expertise giving her a unique insight and advantage in the financial world.

Ms. Allen was a Chief Financial Officer and Corporate Development Officer for W.R. Grace & Co. (NYSE). Ms. Allen was a Managing Director of Elite Capital, Inc., and a principal in Allen/Brenner, Inc., an Orange County based money and cash management firm, with over $1 billion under management. During this period, she was a founder Director and Chief Financial Officer of The Movie Group, (AMX) the predecessor to Lionsgate Entertainment (NYSE).

Ms. Allen was a founder of Ruby Tuesday, Inc., (NYSE), Chief Financial Officer of Taco Bell where she structured and facilitated the sale to PepsiCo, Inc. She currently serves as a Director on numerous corporate and philanthropic organizations.

John Eger

John Eger has served as a senior executive in over twenty companies and as an expert consultant to over fifty companies and philanthropic organizations and foundations in the last thirty five years.

Through multiple engagements as a Strategic Consultant to a wide variety of both investors and companies, he has advised on transition management, strategic alliances, co-developments (Raytheon, Equitable Resources and Eaton Cutler Hammer), reorganizations, and funding rounds.

Representative clients include, Excel Communications, Satama International (USA), Computer Systems Authority, Agave Software, Silicon Aquarius, Virtual Sound, Performance Solutions, Personal Growth Technology, Artifex and Collier Hickman. Non-profit client engagements include Dallas Symphony Orchestra, Meadows School of the Arts at Southern Methodist University, Kitchen Dog Theater and the 500, Inc.

As Chief Operating Officer of Capital General Corporation, a private investment banking firm, he was responsible for the oversight of management and exit strategies of a portfolio of closely-held assets. The team he led was responsible for mergers and acquisitions, capital formation, work-outs and plans of re-organization totaling over $125 million in four years.

John also successfully held senior management positions in diverse vertical markets, including, E-Premis, InteliHome, USIG, Ashford Capital, National Response Corporation, and Direct Partners.

Woody Ritchey

Woody Ritchey has over thirty years of executive management experience across a variety of technologies and markets. He was, most recently, Chief Executive Officer of NextPoint Networks, Rockville, MD which was created as a result of the merger of Reef Point Systems (where he was CEO) and NexTone Networks. In that capacity, he sold NextPoint to Genband.

As Executive Vice President – Subsidiary Management of Ygomi, LLC, a privately held portfolio management company, he was responsible for three of the firm’s four portfolio companies.

As President and Chief Executive Officer of Connexn Technologies, the market leader in revenue assurance solutions for the Telecommunications industry where he led a restructuring of the company’s software platform and partner network, prior to its sale to Azure Solutions.

He served as President and Chief Executive Officer of Delphion, Inc., where he quickly built the start up into a successful intellectual property technology and services provider. Under his direction, Delphion successfully delivered two industry leading product lines, attained profitability in under twenty four months and was sold to the Thompson Corporation.

Prior senior positions include Executive Vice President for International operations at Savvis Networks (NASDAQ), President and General Manager of Invisix, a Cisco Systems and Motorola joint venture, Motorola, and AT&T.

John Holt Smith, Attorney at Law

John Holt Smith, Attorney at Law, has practiced Corporate Law since 1967. He has been a partner at Kelly, Lytton & Vann, Los Angeles, CA, Bushkin, Gaims, Gaines & Jonas, Los Angeles, CA, where he led the securities practice, and McDonald, Sanders, Ginsburg, Phillips, Maddox and Newkirk, Ft. Worth, TX. He also served as Vice President of United States Trust Company and opened its office in Los Angeles in 1979.

He has represented broker-dealers, individuals and entities raising capital, including private placements and public offerings in a multitude of industries, including medical services and supply, film development and production, restaurant and food service, high technology and Internet services. He has represented Johnny Carson, Kareem Abdul Jabar, John Travolta, Wilson Foods, Oppenheimer & Co. and the Texas Ranger Baseball Team, among others.

Mr. Smith received his Juris Doctor from Vanderbilt University in 1966 and was the President of the Honor Council in the School of Law. He was admitted to the bar in California in 1980, Tennessee in 1966 and Texas in 1967. Mr. Smith was Law Clerk to the Honorable Weldon White, Supreme Court of Tennessee, in 1966.
